Welcome to Exocrowd! These Terms and Conditions ("Terms") govern your use of our crowdfunding and fundraising platform operated by Foxbeta Pvt. Ltd. ("we," "us," or "our"). By accessing or using Exocrowd, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our platform.

1. Acceptance of Terms

By registering for an account, creating a campaign, or contributing to a fundraiser on Exocrowd, you accept and agree to be bound by these Terms, as well as our Privacy Policy.

2. Description of Service

Exocrowd is a platform that enables individuals and organizations to create fundraising campaigns and for users to contribute to these campaigns. We facilitate the connection between fundraisers and contributors, providing the necessary tools to manage and promote fundraising efforts.

3. User Accounts

a. Registration

To use certain features of Exocrowd, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

b. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

c. Eligibility

You must be at least 18 years old to create an account or participate in fundraising activities on Exocrowd.

4. User Responsibilities

When using Exocrowd, you agree to:

  • Provide accurate and truthful information.
  • Comply with all applicable laws and regulations.
  • Not engage in any fraudulent or unlawful activities.
  • Respect the rights of other users and refrain from any form of harassment or abuse.
  • Ensure that all content you post does not infringe upon any third-party rights.

5. Campaign Guidelines

When creating a campaign, you must adhere to the following guidelines:

  • Legitimate Purpose: Campaigns must have a lawful and legitimate purpose.
  • Accurate Representation: All information and media provided must accurately represent the campaign’s purpose and goals.
  • Prohibited Content: Campaigns cannot promote illegal activities, hate speech, violence, or any other prohibited content as outlined in our Prohibited Content section.
  • Transparency: Clearly disclose how the raised funds will be used.

6. Payment Terms

a. Payment Processing

All financial transactions on Exocrowd are processed securely through third-party payment service providers, including Razorpay. By using our platform, you agree to Razorpay's Terms of Service and Privacy Policy, as well as the terms of any other payment gateways we may partner with in the future.

b. Payment Methods

We accept contributions via debit/credit cards, UPI, bank transfers, and other supported payment methods. Exocrowd does not store sensitive financial information such as credit card numbers or bank details.

c. Refunds and Chargebacks

Refunds or chargebacks for contributions are handled on a case-by-case basis and may be subject to the terms of the payment provider (Razorpay or others). Fund contributors are encouraged to contact us if they encounter any payment issues.

7. Fees

Exocrowd may charge fees for using certain features of the platform. These fees, if any, will be clearly stated during the campaign creation process. We reserve the right to modify our fee structure at any time, with prior notice to users.

8. Third-Party Services

We integrate with third-party services to enhance the functionality of Exocrowd. These include payment gateways like Razorpay, analytics tools, and other service providers. Your use of these third-party services is subject to their respective terms and privacy policies.

9. Intellectual Property

All content on Exocrowd, including text, graphics, logos, and software, is the property of Foxbeta Pvt. Ltd. or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content without our explicit permission.

10. Disclaimers and Limitation of Liability

a. Disclaimers

Exocrowd is provided on an "as is" and "as available" basis. We do not guarantee that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

b. Limitation of Liability

To the fullest extent permitted by law, Foxbeta Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use Exocrowd;
  • Any unauthorized access to or use of our servers and/or any personal information stored therein;
  • Any interruption or cessation of transmission to or from Exocrowd;
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through Exocrowd by any third party;
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through Exocrowd.

11. Indemnification

You agree to defend, indemnify, and hold harmless Foxbeta Pvt. Ltd., its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of Exocrowd.

12. Termination

We reserve the right to terminate or suspend your account and access to Exocrowd immediately, without prior notice or liability, for any reason, including if you breach these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India, specifically the jurisdiction of Manipur. Any disputes arising from these Terms or your use of Exocrowd will be subject to the exclusive jurisdiction of the courts located in Manipur.

14. Dispute Resolution

In the event of any disputes arising out of or relating to these Terms or Exocrowd, both parties agree to attempt to resolve the dispute through friendly negotiations. If the dispute cannot be resolved amicably, it will be settled through arbitration in accordance with the Arbitration and Conciliation Act, 1996.

15. Changes to Terms

Foxbeta Pvt. Ltd. reserves the right to modify these Terms at any time. We will notify users of any significant changes by posting the updated Terms on our website. Your continued use of Exocrowd after any changes indicates your acceptance of the new Terms.

16. Prohibited Content

You agree not to post, distribute, or otherwise make available any content that:

  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Infringes upon any intellectual property rights of others.
  • Contains false or misleading information.
  • Promotes illegal activities or goods.
  • Encourages or depicts violence, self-harm, or other dangerous behavior.
  • Contains unsolicited advertising or promotional materials.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity will not render these Terms unenforceable or invalid as a whole. Such provisions will be deleted without affecting the remaining provisions herein.

18. Entire Agreement

These Terms constitute the entire agreement between you and Foxbeta Pvt. Ltd. regarding your use of Exocrowd and supersede all prior agreements, understandings, and representations.
